I keep hearing employee ownership trusts mentioned as an exit option and wanted to actually understand how they work before assuming it is just a more complicated way of selling the company to staff. Here is what I have pieced together so far, would appreciate anyone correcting me or adding context.
An employee ownership trust, often shortened to EOT, is a structure where a company's shares are sold into a trust that then holds them on behalf of all employees collectively, rather than employees individually owning shares the way they might under something like an EMI scheme. The founder or existing shareholders sell a controlling stake, usually more than fifty percent, to the trust, and the business continues operating largely as before, but with employees now having an indirect collective stake in the company through the trust.
One of the biggest draws seems to be the tax treatment, since selling to an employee ownership trust can allow the selling shareholders to pay no capital gains tax on the sale, provided certain conditions are met. Employees can also receive tax free bonus payments up to a certain limit each year once the company is under EOT ownership.
What I am still trying to understand is how the actual valuation and payment structure typically works, since the trust often does not have the cash upfront to pay the full purchase price immediately, meaning many EOT sales seem to be funded gradually out of future company profits rather than a single lump sum payment.
